This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “Licensee”) and Object Q Software, Lda (“Company,” “Licensor,” “we,” or “us”), a company registered in Portugal with its principal place of business at Rua Estrada Nacional 302, nº6, 4920-020 Candemil, Portugal. This EULA governs your use of our software products (“Software”), which are purchased by you from the Atlassian marketplace or similar.
By purchasing, downloading, installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
This EULA is an addition to the Atlassian Marketplace Terms of Use.
1. Definitions
Accessible Code refers to source code that is unprotected and available for access.
Protected Code is any source code that is secured from access by the Licensee and third parties without prior written consent from the Licensor and is otherwise not accessible under the terms of this EULA.
Reseller denotes the Atlassian Marketplace responsible for selling and distributing Alpha Serve products.
Software pertains to the Alpha Serve software that accompanies this EULA, encompassing computer programs, code, and potentially including associated media, printed materials, online or electronic documentation, Internet-based services, and Embedded Software.
User License refers to the license granted to the Licensee under this EULA, allowing an Authorized User to utilize the Software. The quantity of User Licenses allocated to the Licensee is determined by the Fees paid by the Licensee.
2. Grant of License
2.1 License: Object Q Software, Lda grants you a non-exclusive, non-transferable, limited license to download, install, and use the Software for your personal or internal business purposes on the number of devices specified at the time of purchase.
2.2 Restrictions: You shall not:
- Modify, reverse engineer, decompile, or disassemble the Software.
- Rent, lease, lend, sell, redistribute, or sublicense the Software.
- Use the Software to develop competing software or for any unlawful purpose.
- Copy the Software, except as expressly permitted by this EULA or applicable law.
3. Payment and Fees
3.1 Payment: You must pay all fees associated with the Software as specified in the marketplace at the time of purchase. Payment terms are governed by the marketplace’s policies and procedures.
3.2 Taxes: You are responsible for paying all applicable taxes, duties, or other governmental charges related to your purchase and use of the Software.
4. Intellectual Property Rights
4.1 Ownership: The Software is licensed, not sold. Object Q Software, Lda retains all right, title, and interest in and to the Software, including all intellectual property rights therein.
4.2 Trademarks: This EULA does not grant you any rights to use the trademarks or trade names of Object Q Software, Lda.
5. Updates and Upgrades
5.1 Updates: Object Q Software, Lda may provide you with updates or upgrades to the Software. These updates are subject to the terms of this EULA unless they are accompanied by separate terms.
5.2 Discontinuation: Object Q Software, Lda reserves the right to discontinue any updates or support for the Software at any time without notice.
6. Support Services
6.1 Support: Object Q Software, Lda may provide you with support services related to the Software. Support services will be provided in accordance with Object Q Software, Lda’s policies then in effect.
7. Term and Termination
7.1 Term: This EULA is effective from the date you accept it and continues until terminated.
7.2 Termination: This EULA may be terminated by:
- You, by discontinuing use of the Software and destroying all copies.
- Object Q Software, Lda, if you fail to comply with any term(s) of this EULA. Upon termination, you must destroy all copies of the Software.
8. Disclaimer of Warranties
8.1 AS-IS: The Software is provided “AS IS” without any warranty of any kind. Object Q Software, Lda disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
9.1 Limitation: To the fullest extent permitted by law, Object Q Software, Lda shall not be liable for any damages, including but not limited to, direct, indirect, incidental, or consequential damages, loss of profits, or data, arising out of the use or inability to use the Software.
10. Governing Law and Dispute Resolution
10.1 Law: This EULA shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law principles.
10.2 Dispute Resolution: Any disputes arising out of or in connection with this EULA shall be resolved by the courts of Portugal.
11. Miscellaneous
11.1 Severability: If any provision of this EULA is found to be unenforceable, the remainder shall remain in full force and effect.
11.2 Entire Agreement: This EULA constitutes the entire agreement between you and Object Q Software, Lda with respect to the Software and supersedes all prior or contemporaneous understandings.
11.3 Amendments: Object Q Software, Lda reserves the right to modify this EULA at any time. Continued use of the Software after such modifications shall constitute your acceptance of the modified EULA.
11.4 Waiver: No failure or delay by Object Q Software, Lda in exercising any right under this EULA shall constitute a waiver of that right.
11.5 Trademarks and Disclaimer: All trademarks, logos and brand names are the property of their respective owners. All company, product and service names used in this website are for identification purposes only. Use of these names, trademarks and brands does not imply endorsement.
